
Rules of Conduct
INTRODUCTION TO THE RULES OF CONDUCT FOR VICTOUS AFFILIATES
The Victous Rules of Conduct define and establish certain principles to be followed in the development and maintenance of a Victous Business and the rights, duties, and responsibilities of each Victous Affiliate.
These Rules are designed to preserve the benefits available to all the Affiliates under Victous Sales and Marketing Plan.
Victous and its Affiliates have a binding contractual relationship. The terms and conditions of this relationship are set forth which is subject to amendments from time to time in conjunction with business needs and applicable laws.
Victous will notify all such amendments to the Affiliate by publication on its website www.victouslife.com, Victous App (IOS & Android), and all Leadership Meetings.
All the documents forming a part of the Direct Seller Contract define and establish certain guidelines to be followed in the development and maintenance of a Victous Business and the rights, duties, and responsibilities of each Victous Affiliate.
You shall indemnify Victous from and against all actions, claims, demands, prosecutions, penalties including costs thereof and not excluding Victous’s legal costs which might be made or brought against Victous in respect of or arising out of breach, infringement or infraction of any laws, regulations and codes of practice arising out of the operation of Victous Business. Victous shall not have any liability towards any Affiliate in respect of any loss, cost, damage or expense suffered directly or indirectly as a result of any act, omission, representation or statement of any other Affiliate.
1. REGISTRATION AND ACTIVATION AS AFFILIATE
Registration & Activation as an Affiliate: Joining in Victous is free and you are not required to pay any amount for your Registration as a Victous Affiliate. Victous believes in equal opportunity for all. The Victous Business is available to anyone regardless of race, gender (sex), and religious or political beliefs. To become a Victous Affiliate, you are required to fill an online application form at Victous website www.victouslife.com or Victous App (IOS & Android).
1.1 Without limiting Victous’s rights, the following are requirements for becoming an Affiliate with Victous. A Prospective Affiliate must fulfil the following eligibility criteria:
- Be at least 18 years of age (21 years for the State of Maharashtra).
- Be a citizen and resident of India.
- Must not be in jail, have any criminal record and/or confined to any correctional institution of any kind.
- Must undertake to Victous that there is no legal bar or limitation on his ability to meet the legal obligations as a Victous Affiliate.
- Must not have been convicted or bankrupt during the preceding 5 years from the time of making the application to become Victous Affiliate.
1.2 Points to remember before registering as a Victous Affiliate
- There is no requirement to make any payment as joining fee or in return for any information or assistance provided for becoming a Victous Affiliate or to make any payment by way of security to become a Victous Affiliate.
- There is no mandatory requirement to maintain a specified minimum inventory of Victous Products.
- To remain eligible for commission earnings, the Associate must maintain an active identification (ID) status in accordance with the terms outlined in the Company’s Compensation Plan.
- Upon successful registration as an Associate, the individual is required to place an initial order within thirty (30) days to commence business activities under the Victous platform.
- In the event that an Associate’s ID remains inactive—defined as the absence of any product repurchase, lack of personal sponsorship activity, and ineligibility for commission—for a continuous period of ninety (90) days, such ID shall be subject to Sales Order Hold status and/or may be vacated at the sole discretion of the Company.
1.3 Acceptance or Rejection of Application
Victous exclusively reserves the right to accept or reject any application submitted by individuals to enroll as Victous Affiliate without having to give any explanation whatsoever.
1.4 Effective Date and Authorization for Ordering
An Application shall be considered “accepted” when either personal details of the Applicant(s) are entered and verified in Victous records or when Victous notifies the new Affiliate accordingly in any manner whatsoever, normally by issuance of an SMS on the registered mobile number, whichever is earlier. The new Affiliate may resell Victous Products after receipt of confirmation. Business can be taken up in individual capacity, as a sole proprietorship firm or as a partnership firm (hereinafter referred to as “Business Entity”).
1.5 Registration in the Name of a Business Entity
A New Affiliate can join Victous and operate his or her Victous business as a sole proprietorship firm, or registered partnership firm provided it complies with certain requirements and conditions as given below:
- Victous Affiliate Application for the enrolment would be submitted in the name of the Business Entity. The Business Entity, in addition to Victous Application form must file with Victous - the Entity Authorization Form, duly signed and stamped by its Sole Proprietor or Partners as applicable. A copy of registration certificate as a Sole Proprietorship Firm or a registered Partnership Deed along with other supporting documents (as maybe requested by Victous from time to time) should be submitted along with the application form; acceptance of such registration is subject to due verification and approval by Victous.
- Any future Change occurring in the constitution of the Business Entity and any amendment brought about in the constitutional documents shall be mandatorily brought to the notice of Victous Lifesciences Private Limited formally and must necessarily be approved by Victous; otherwise, the business association may be subject to Termination at the sole discretion of Victous Lifesciences Private Limited
- The liability of the partners would be joint and several.
- Incentives / other funds’ payments would mandatorily be made in the name of the Business Entity enrolled as Victous Affiliate
- All Partners are jointly and severally liable for adherence to the terms of all the documents covered under the Direct Seller Contract as defined herein
- A Business Entity may enroll as a Victous Affiliate only when it is formed for the sole purpose of carrying out the Victous business only. This Business Entity must not be used to carry out any business other than Victous.
- No amendments for the constitution of the Business Entity will be allowed once after enrolled as Victous Affiliate without prior approval from Victous
- All partners shall personally and irrevocably guarantee due performance by the partnership, all of its obligations and responsibilities as a Consultant as outlined in the Affiliate Contract
1.6 Duration of Victous Business
Victous does not charge any renewal fee for Victous Business to remain active. However Victous business will be discontinued if the Affiliate resigns and the resignation is duly accepted by Victous or Affiliate contract is terminated by Victous.
1.7 Victous can revoke any Affiliates’ business if the Affiliate acts in violation to the terms and condition prescribed in any of the documents constituting the Affiliate contract.
2. Responsibilities and Obligations of Affiliate
2.1 Comply with all the terms and conditions laid down by Victous in its various publications, from time to time
As a Victous Affiliate, you must, at all times, comply with and strictly adhere to the guidelines, systems, requirements, procedures, policies, terms and conditions mentioned under all the documents and publications constituting the Affiliate Contract or any amendment thereof effected by Victous from time to time.
The Affiliate shall keep records of use of products consumed and resold separately and provide the same to Victous upon request.
The documents constituting the Affiliate Contract require direct selling through personal interaction with the consumers. Use of alternative methods of selling – like retail or online sale – is contrary to the fundamental principles of Direct Selling and disturbs the level playing field. Victous is committed to providing equal opportunity to all Victous Affiliates and hence prohibits the sale or display of Victous products and services at places where goods are sold.
2.2 Prohibition of Indulging in Unethical Business Practices
As a Victous Affiliate you shall not:
- Sell Victous products at a price higher than the Maximum Retail Price (MRP).
- Sell Victous products at less than the Distributor Price, as this would be considered a predatory practice and would harm the Victous Business of other Affiliates.
- Misrepresent in any way the price, quality, performance, or availability of Victous products or services.
- Offer discounts or special promotions that are not offered by Victous.
- Promote or misrepresent non-Victous products as Victous products.
- Promote opportunity / products / services of Victous’s competitors nor will I deal with any of the person/s related with those companies Consultants shall indemnify Victous on account of any costs or damages that may arise from the breach of the above.
2.3 Comply with Laws of the Land
Affiliates must not engage in any deceptive or unlawful trade practice. Affiliates shall be responsible for complying with Central, State or local laws, GST, Octroi, Toll taxes, Service Tax and all other taxes/ laws/regulations as may be applicable to him/her from time to time and may vary from State to State in India and also for obtaining all licenses and registrations as may be required for running his/her Victous business from time to time. No Affiliate may operate any illegal or unlawful business enterprise, engage or participate in any illegal or unlawful business activity or be convicted of any illegal or unlawful activity. Victous is not responsible for or concerned with effort or expense required to comply with such laws and regulations or the consequences of default. The Affiliate is representing Victous and hence he must not do any act or activity or conduct himself in any such manner as to jeopardize the reputation of Victous and the business.
2.4 Rules regarding changing or modifying current packaging and labelling of Victous Products
Victous prohibits you from deleting any material from, adding any material to, adding extra words, labels, or other materials on and altering or detaching any label from the product/literature. Victous products must be sold in the form and packages provided by Victous and must not be decanted, repacked or otherwise altered from the said form and packages. The Victous Affiliate shall further make sure that the product delivered matches the description provided at the time of offer for sale.
2.5 Written Order Form / Sales Receipt / Invoice
2.5.1 Prior to the time of the initial sale, Affiliate shall provide a duly filled Order Form to the Customer which shall include all the details as given below:
- The complete name of the Direct Selling Entity – Victous Lifesciences Private Limited
- The name of the Affiliate and their Victous ID number
- Affiliate’s contact number
- Complete description of the goods and services
- Country of origin of the goods
- Order date
- Total payable amount
- Time and place of inspection and delivery
- A link to the return and refund policy
- A link to the Consumer Grievance Redressal Mechanism
2.5.2 At the time of reselling products, a Affiliate shall issue a written and dated receipt to the Customer. This receipt shall contain Victous 100% Satisfaction Guarantee including product refund policy and shall be in compliance with all the applicable laws. This receipt must include –
During resale, the Affiliate must issue a written and dated receipt including:
- Product description
- Price
- Affiliate’s reference and registration details
This receipt must also reflect the Victous 100% Satisfaction Guarantee and comply with applicable laws.
2.6 Prospecting and Presenting Sales and Marketing Plan
At all times Affiliates are required to make fair presentation of Victous Products to the best of their abilities. They must clearly communicate the terms of the offer, rights provided by Victous, price, payment terms, delivery, right to return, etc., as required for making an informed choice while presenting themselves in a courteous and professional manner.
2.6.1 Invitation
When a Victous Affiliate invites an individual to an Introductory Meeting, they should not:
- Convey an impression that it relates to an employment opportunity
- Convey an impression that the invitation is a social event or market survey
- Promote the business opportunity as a business relationship with any other person or entity besides Victous
- Imply the meeting is for anything other than presenting the Victous Business Plan
- Disturb prospective customers without prior intimation
- Impose themselves or use high-pressure selling tactics
- Persuade prospects into purchasing Victous Literature under the pretense it is mandatory
2.6.2 Presentation
On the first personal contact the person should make himself or herself known in the appropriate fashion that he is a Victous Affiliate and shall always carry a copy of the id card issued by Victous. A Victous Affiliate shall never impose himself or herself upon his/her prospective customer. He / she should give his name, address, contact number as well as information on Victous. In the course of presentation of the Victous Sales and Marketing Plan, a Affiliate should:
- Emphasize that income and bonuses can be achieved only on the basis of continuous sales and business building.
- Not claim that a Affiliate may achieve success with little or no investment by way of effort or time.
- Not exaggerate or overstate the kind of potential earnings that can be generated by Victous business.
- Show the sample of products if so desired by Customer.
- Guide Customers to use the product as per directions and cautions for the products.
2.7 Handling Customer Complaints
Whenever there is any Customer complaint, the Affiliate shall acknowledge the Complaint within 48 hours and shall notify Victous along with all correspondences they have had with customer regarding the complaint while also guiding the customer for replacing products as per Victous 100% Satisfaction Guarantee.
2.8 Relationship of Affiliate with Victous
As a Victous Affiliate, you are operating your own business on principal-to-principal basis; you are not an employee/agent of Victous. You shall not convey the impression or refer to yourself as employee, agent, manager or representative of Victous nor use such terminology or descriptive phrase on your stationery or any other printed matter. You further cannot bind Victous in any agreement or contract and on receipt of any infringement of the present clause, Victous reserve its right to terminate and/or pursue other legal actions. Nothing in this arrangement shall be deemed to be an employer employee relation between Victous and the Affiliate
2.9 Rules Regarding Sale of Non-Victous Products and Services
Victous Affiliate must not use Victous Affiliates or activities organized specially to promote Victous Products or Victous events, to promote his non Victous business/profession nor will induce another Victous Consultant to participate in any other non Victous Business activity. Victous shall in its absolute discretion terminate a Affiliate if he/she is a Consultant with a company in direct/indirect competition with Victous products and/or services that may neglect or detrimentally affect the sales of Victous products
2.10 Line of Sponsorship is Sacrosanct
Line of Sponsorship is sacrosanct. Victous prohibits a Victous Affiliate from directly or indirectly soliciting, interfering with or trying to entice another Victous Affiliate away from his line of joining. Affiliates must not directly or indirectly, induce/entice other Victous Affiliate to change their line of sponsorship, poach or solicit reregistration of existing Affiliate from other line of sponsorship e.g. Inducing a Victous Affiliate to start a new business in the name of any other family member under a different sponsor without complying with inactivity rule. Transfers of Affiliates from one Sponsor to another are only granted at the sole discretion of Victous
Cross Group Selling
A Victous Affiliate in one line of Sponsorship must buy all Victous products and literature supplies directly from the Victous or his/her Sponsor. A sponsor should encourage his/her Sponsored Affiliates to place orders independently; in the event Affiliate/Sponsor is placing orders in the name of any other Affiliate, he/she should do so with the Affiliate’s prior written approval and he/she will remain responsible for the orders placed and hence they need to be cautious so as to safeguard their business interest
2.11 Privacy and Confidentiality
Information about Line of Sponsorship, report on Sponsored Affiliates sales, organization information are proprietary and confidential to Victous and is made available to the Affiliates at the sole discretion of the Victous in strict and complete confidence; if made available, such privileged information shall be used for Affiliate’s own use only and must not be disclosed to any third party. Affiliate must at all times ensure the protection of Sensitive Personal Data provided by any Customer in the due course of making a sale in accordance with all applicable laws. The Affiliate shall take adequate steps to ensure prevention of misuse or access of the Sensitive Personal Information of the Customer by any third/unauthorized persons. All Affiliates are required to strictly abide by the above policy.
2.12 Rules for Media Activities and Spamming
Affiliate shall seek prior written consent before publishing anything in media relating to Victous, its business or Affiliates. No Affiliate shall make any press statement, release, briefing, presentation etc. relating to Victous, its business or Affiliates without prior written consent of Victous. Affiliate shall prospect only to his/her pre-existing personal or business relationships and shall not use unsolicited email messages to any unknown person(s)
2.13 Manipulation of Victous Sales and Marketing Plan
Victous Affiliates shall not attempt to influence or obtain rewards, awards, or bonuses by manipulating the Victous Compensation Plan, inflating their Sales Volume, or creating artificial structures within the Victous network. Such behavior is strictly prohibited and will be subject to disciplinary action.
2.14 Territory and Prohibition on Exports
The operations of a Victous Affiliate are strictly limited to the territory of India. Affiliates are not permitted to export Victous products or knowingly sell to any individual or entity that intends to export them. Victous exclusively reserves the right to manage the export of its products, including customer selection and pricing, at its sole discretion.
3. Responsibilities and Obligations of Sponsor
As a Sponsor, the Affiliate has certain responsibilities and obligations.
3.1 Sponsor Duties
3.1 Train, motivate and support Affiliates and endeavour to get them to attend Victous meetings and functions in all cases the Sponsor is responsible and accountable for ensuring that compliant training and motivation are made available to his or her sponsored Affiliates.
- Affiliate shall abide by all the documents that constitute the Affiliate Agreement as defined, and shall not, indulge himself / herself in any wrongful activity, which could have any adverse effect upon the Victous business of another Affiliate.
- Ensure that all Affiliates in his/her group comply with all the provisions of the documents that constitute the Affiliate Contact as defined in letter and spirit.
- Counsel the Sponsored Affiliates in case notices non-compliance of the Affiliate Contract; Report any violations of the Affiliate Contact to Victous.
- Guide Affiliates on promotions, media activities, and other matters to ensure they conform to Victous-approved procedures and rules.
- Encourage Sponsored Affiliates to place their product orders independently.
- Must not hard sell Victous products or services to other Victous Affiliates, nor should they use high-pressure selling techniques.
- Inform their team that there are no exclusive territories under the Victous Sales and Marketing Plan within India.
- Must not claim or imply there is an employment or agency relationship between themselves and the Affiliates they sponsor.
- Shall not force any Affiliate to purchase Victous literature, nor claim it is a mandatory requirement for becoming an Affiliate.
3.2 Sponsoring Guidelines
The Victous Compensation Plan must not be presented as an opportunity to earn quick and easy money with little or no investment of time or effort, nor as a business model that does not require the resale of Victous products.
While prospecting, Sponsors must:
- Use only Victous products and authorized literature for presentations.
- Ensure all information shared is compliant with Victous policies.
- They may cite real-life lifestyle examples—such as travel, automobiles, and homes of successful Affiliates—as long as such examples clearly reflect the results of genuine effort and the building of a successful Victous Business.
4. Payment of Bonus
4.1 Bonus Disbursement
Bonuses payable under the Victous Compensation Plan are issued within 15 days of the commission calculation for the corresponding week. In cases where an Affiliate account has both a main applicant and a co-applicant, Victous will make all related payments—including commissions, discounts, returns, and refunds—to the First Applicant only, as per the information provided in the Affiliate Application Form.
If the Affiliate owes any money to Victous, the company reserves the legal right to recover the amount by adjusting it against any bonuses or amounts payable.
4.2 Dispute Between Main Applicant and Co-Applicant
In the event of a conflict between the Main Applicant and the Co-applicant, Victous Lifesciences Private Ltd. retains sole discretion to determine the rightful beneficiary of proceeds under the Victous Compensation Plan. The decision will be primarily based on the observed activity patterns and visibility of the concerned individuals in the conduct of Victous business operations.
5. Resignation
An Affiliate may resign from Victous by submitting a resignation letter either:
- Via email from their registered email address to info@victouslife.com, or
- In writing at any Victous Centres or Offices.
The resignation letter should include the reason for resignation and must be shared with the Affiliate's Sponsor, Regional Head, or the Victous Customer Delight Team. Upon resignation, the Affiliate's contractual relationship with Victous and their sponsor shall cease, except in the following cases:
5.1 Indemnities and Legal Liabilities
The Affiliate remains liable for indemnities arising from costs or damages—legal or otherwise—resulting from any misrepresentation or breach of laws prior to resignation.
5.2 Breach of Affiliate Contract
Any violations of the Affiliate Contract occurring before the effective date of resignation will still be the responsibility of the resigning Affiliate.
If the resigning Affiliate wishes to return any Victous products at the time of resignation, the following terms apply:
- The products must be in saleable condition (as determined by Victous).
- The products must be returned within 30 days of purchase.
- A copy of the purchase invoice must be presented.
- The refund amount will be adjusted for any bonuses or benefits previously availed due to the purchase of the returned products.
- Refunds will be processed within 15 days from the date of return.
6. Registration of Former Affiliate in Case of Resignation/Termination
Once a Victous Affiliate has either resigned or had their contract terminated, they are not permitted to re-enter into a contract with Victous as an Affiliate for a period of:
- 6 months from the date of resignation or termination for standard Affiliates.
- 12 months from the date of resignation or termination for Affiliates who held the title of Vice President or higher.
If a former Affiliate violates this rule and enters into a contract with Victous during the inactive/dormant period, the contract will be considered void ab initio (null from the beginning) and will be subject to immediate termination.
To apply for a new Victous business under this rule, the individual must submit a new Affiliate Application Form (AAF), clearly specifying the details required as part of the reapplication process.
6. Registration of Former Affiliate in Case of Resignation/Termination
Once a Victous Affiliate terminates their contract or resigns, they are not allowed to re-enter into a contract with Victous as an Affiliate for a period of:
- 6 months from the date of resignation/termination for general Affiliates.
- 12 months from the date of resignation/termination for those holding the title of Vice President or above.
If a former Affiliate rejoins during the inactive/dormant period, such registration will be considered void ab initio and subject to termination.
To reapply, the individual must submit a new Affiliate Application Form (AAF) that includes:
- Earlier ID Number
- Declaration of dormancy/inactivity
If any existing Affiliate opposes the rejoining and provides clear proof of activity during the restricted period (6/12 months), Victous may reject the application. However, Victous reserves the right to make a final decision on a case-by-case basis.
Applicants are not allowed to reapply under this rule to become a partner in an already existing Victous business.
6.1 Meaning of the Term "Dormant"
The term Dormant refers to an Affiliate who has:
- Not conducted any field activities or held any meetings.
- Not attended any trainings, meetings, or Victous-sponsored conventions.
- Not purchased or sold any Victous products, or sponsored new prospects.
- Not presented the Victous Sales and Marketing Plan to anyone.
- Not participated in Victous business under another Affiliate’s name (e.g., spouse, sibling, parent).
In the case of a married couple, both must meet the inactivity requirements before either can re-register. Re-registration must not occur under a sponsor who was previously in their original upline or downline unless the full inactivity period has passed.
After moving to a new group, an Affiliate may not recruit from their former group unless the former Affiliates have been inactive for at least 6 or 12 months, as applicable.
6.2 Corrective Action
If these provisions are violated, Victous reserves the right to take corrective measures. This may include transferring the business group and any associated business volume generated during the violation period back to the original Line of Sponsorship.
6.3 Re-registration of Terminated Affiliate in Case of Breach
Affiliates and their spouses who were previously terminated for breach of contract are prohibited from re-registering, unless approved at the sole discretion of Victous Management. Any current Affiliate who wishes to sponsor such a person must first obtain written permission from Victous.
6. Registration of Former Affiliate in Case of Resignation/Termination
Once a Victous Affiliate terminates their contract or resigns, they are not allowed to re-enter into a contract with Victous as an Affiliate for a period of:
- 6 months from the date of resignation/termination for general Affiliates.
- 12 months from the date of resignation/termination for those holding the title of Vice President or above.
If a former Affiliate rejoins during the inactive/dormant period, such registration will be considered void ab initio and subject to termination.
To reapply, the individual must submit a new Affiliate Application Form (AAF) that includes:
- Earlier ID Number

6.2 Corrective Action
If these provisions are violated, Victous reserves the right to take corrective measures. This may include transferring the business group and any associated business volume generated during the violation period back to the original Line of Sponsorship.
6.3 Re-registration of Terminated Affiliate in Case of Breach
Affiliates and their spouses who were previously terminated for breach of contract are prohibited from re-registering, unless approved at the sole discretion of Victous Management. Any current Affiliate who wishes to sponsor such a person must first obtain written permission from Victous.
7. Customer Satisfaction Program
Victous observes an irreversible 100% Satisfaction Guarantee on its products, wherever specified. This ensures that customers are fully satisfied with their purchases.
- If a customer is not completely satisfied, they may return the product to the Victous Affiliate within 7 days of the original purchase for a full refund.
- The Victous Affiliate can return such products to Victous within 30 days of purchase. This applies only to saleable products.
- The Affiliate must guide the customer on how to file a complaint with Victous as per the 100% Satisfaction Guarantee policy. The Affiliate must inform Victous of any customer complaint and submit all relevant correspondence and details within 24 hours of receiving the complaint.
Affiliates are not authorized to make offers, compromises, or assume liability on behalf of Victous for any complaints or product returns.
Upon a customer’s request under the Satisfaction Guarantee, the Affiliate shall offer:
- Full refund of the purchase price paid
- Exchange with the same or another product of equivalent value
Affiliates are required to indemnify Victous against any legal action or claim—including legal fees—arising due to their failure to follow these policies.
7.1 Product Return Procedure
Victous will accept returns of products accompanied by:
- Customer Order Receipt
- Product Return Form
- Original Invoice
Returns must be submitted within 30 days of purchase. The Affiliate may choose:
- A credit note to purchase another product of equal value
- Direct refund to the registered bank account
7.2 Product Return – Other Guidelines / Notes
This policy applies to both invoice items and free offer items, under the following conditions:
- Affiliate may exchange invoiced or free offer products for same or other products of equivalent value, provided the offer terms are not violated.
Product Return Conditions:
- Products must be returned to Victous Centres or Offices.
- Return period is counted from invoice date to the date of receipt at Victous centre.
- Products will be categorized as "Saleable" or "Unsaleable" based on assessment by Returns Executive.
- PV/BV adjustment for returned products will be processed the same week or the following week.
- Total PV/BV of returned products will be deducted from the Affiliate’s account and their upline’s account accordingly.
- Satisfaction Guarantee does not apply to opened literature, videos, or other sales aids.
- Returns cannot exceed the quantities listed on the original invoice.
- If customers return products directly to Victous, corresponding PV/BV and excess payout adjustments will be made from the selling Affiliate’s account.
- Taxes refer to all applicable sales taxes in India.
- Saleable refers to unopened, sealed, and “good to sell” condition products.
- Unsaleable refers to partially used products (up to 25%).
- Excess stock means returning 8 or more units of a product.
7.3 Exchange of Product in Case of It Being Defective
If a Direct Seller or Customer finds a product to be defective, they must bring it to the nearest Victous Centre or Office to have it replaced with the same product.
8. Victous’s Ownership of Copyright
8.1 Copyright Protection
- Victous retains full copyright over all its printed materials.
- Reproduction of any Victous materials—including text, pictures, diagrams, charts, maps, designs, audio, video, or film recordings—is strictly prohibited without prior written permission.
- If permission is granted, all reproduced materials must include the statement:
“Reproduced with the permission of Victous Lifesciences Private Limited,” and must include the Affiliate’s contact details. - All rights related to the Victous name, trademarks, and other intellectual property belong solely to Victous and/or its associated companies.
- Affiliates may only use printed material provided by Victous and must not modify or print materials with altered content.
- Upon resignation, an Affiliate must cease all usage of the Victous name and any copyrighted materials.
8.2 Use of the Victous Name and Logo
Affiliates must adhere to the following guidelines regarding use of Victous’s intellectual property:
- Use of the Victous name, logo, trademarks, trade names, or service marks without prior written approval from Victous is strictly prohibited.
- Victous reserves the right to revoke such permission at its sole discretion at any time.
- Affiliates are prohibited from creating or sourcing any items bearing the Victous name or logo from sources other than Victous.
8.3 Office Signage
If an Affiliate wishes to display the Victous name or logo on any office signage visible to the public, the following rules apply:
- Prior written approval must be obtained from Victous.
- A complete description of the proposed signage—including its size, location, and method of installation—must be submitted.
- The office must not be used for servicing retail customers.
- Victous reserves the right to withdraw approval if the office does not meet ethical standards of operation. Victous’s decision shall be final.
8.4 Vehicle Signage
- Affiliates must obtain explicit written approval from Victous before using any trade name, logo, trademark, or symbol on a vehicle.
- Victous may withdraw approval if:
- The vehicle falls into disrepair.
- The owner violates the Code of Ethics or Rules of Conduct.
- The Affiliate engages in any activity deemed prejudicial to Victous’s interests (Victous will be the sole judge).
- Upon selling the vehicle, the Victous name and logo must be completely removed.
8.2 Guidelines Regarding Use and Representation of the Victous Name by Affiliates
Affiliates are strictly prohibited from using Victous’s name, logo, trade names, trademarks, service marks, or any other intellectual property belonging to Victous or its associated companies without prior written consent. Victous may withdraw this consent at its sole discretion.
Affiliates are also forbidden from producing or procuring any item bearing the Victous name or logo from sources other than Victous.
8.3 Office Signage
If an Affiliate wishes to display the Victous name or logo publicly at an office location:
- They must obtain prior written approval from Victous.
- The request must include a description of the signage, size, location, and installation method.
- The office may not be used to serve retail customers.
- Victous reserves the right to revoke permission if ethical practices are not maintained. Its decision will be final.
8.4 Vehicle Signage
- Affiliates must obtain prior written approval from Victous to use its trade name, trademark, or logo on any vehicle.
- Victous may withdraw permission if:
- The vehicle is not maintained properly,
- The Affiliate violates any rule or code of conduct, or
- The Affiliate’s conduct is deemed detrimental to Victous's reputation, as judged by Victous.
- All Victous branding must be removed from the vehicle before it is sold.
8.5 Charitable Events
Affiliates are not allowed to associate Victous products or services with charitable events for the purpose of suggesting that purchases will support a cause, group, or organization.
8.6 Stationery, Promotional Literature, etc.
Affiliates must obtain written approval from Victous before printing any materials such as stationery or literature that include Victous trademarks, trade names, or logos. The exact copy to be printed must be submitted for approval, and no changes can be made to the approved content.
8.7 Principles Regarding Advertising
Victous prohibits the use of mass or broadcast communication methods to acquire customers, including:
- Mass mailing
- Telemarketing
- National or international advertising
- TV shopping channels
- Computer networks (including internet) unless there is personal contact with the prospect
However, Affiliates may use digital media or maintain a website only if:
- The content complies with the Affiliate Guidelines
- All terms and conditions of the Victous Business are followed
- Explicit consent and authorization is obtained from Victous in advance
8.8 Penalties for Violators
If an Affiliate violates any of the clauses in the code of ethics:
- Their Association with Victous will be terminated immediately.
- They will be prohibited from representing themselves as a Victous Affiliate.
- They must cease using Victous trademarks and trade names.
- Continued misuse will result in legal action for infringement, including a lawsuit for damages and injunctions, at the violator’s risk and cost.
9. Business Development Aids or Marketing Collaterals
9.1 Definition
Business Development Aids or Marketing Collaterals refer to all products and services (including but not limited to business tools, books, magazines, flip charts and any other printed material, online literature, internet websites, audio, video or digital media, rallies, meetings, seminars, and tickets) that:
- Incorporate or use one or more of Victous’s trademarks, service marks, or copyrighted works; or
- Are designed to solicit and/or educate Prospects, prospective customers, or Customers of Victous products or services, or to support, train, motivate, and/or educate Affiliates; or
- Are otherwise offered with an explicit or implied sense of affiliation, connection, or association with Victous.
9.2 General Rules on Business Development Aids or Marketing Collaterals
- No Affiliate is authorized to create, produce, promote, or distribute marketing collaterals to promote their Victous Business without permission.
- Business Support Material (BSM) is entirely optional and must never be promoted as a required part of the Victous joining process or as a condition for success in the business.
- Affiliates may not receive or offer any compensation or financial incentive related to the promotion or sale of BSM to or from other Affiliates.
- BSM must not infringe on Victous copyrights, trademarks, or intellectual property rights, nor
violate
any applicable laws or regulations. Affiliates must:
- Obtain written authorization from Victous (as outlined in Section 8) before using any Victous trademarks or copyrighted material.
- Avoid infringement of third-party rights, including those of other Certified Training Providers or Affiliates.
- Ensure all approved BSM contains the Affiliate’s name and ID number.
- No Affiliate is allowed to record presentations conducted by Victous without prior written consent.
- No Affiliate may use photos of Victous Management without written approval.
- Any claims related to Victous product characteristics, usage, or performance must:
- Be taken verbatim from official Victous sources.
- Not be altered or modified in any form.
- Include only approved content from official literature, Victous Connect magazines, or labels—reproduced in full and with prior approval.
10. Social Media Policy
10.1 Definition of Social Media
This policy is designed to help Affiliates apply the rules and principles of Victous’s Affiliate Contract when engaging on social media platforms. Social media includes websites, blogs, microblogs, message boards, podcasts, video and photo sharing platforms, online communities, wikis, and other tools used to interact and share content online.
10.2 Appropriate Conduct
- Connect with Victous online through official pages; share official posts, videos, and photos with your teams, customers, and prospects.
- Maintain appropriate privacy settings when connecting with friends, Sponsored Affiliates, or Sponsors.
- Clearly disclose your affiliation with Victous when discussing business on your social media profile. Always be truthful and accurate, as your comments reflect both your reputation and that of Victous.
- Share positive personal experiences with Victous products and business.
- Engage in positive, relevant, and credible conversations. Provide support and feedback respectfully.
- Refer inquiries to Victous for clarification or resolution.
- Always follow the Affiliate Contract. Only a few key rules are highlighted here—Affiliates should consult Victous for any other clarification.
10.3 Forbidden Conduct
- Do not create unauthorized pages, websites, or accounts to sell Victous products.
- If someone expresses interest online in buying products or learning more, respond privately through messages, chats, or email.
- Do not offer unauthorized discounts or special promotions that are not officially offered by Victous.
- Do not create fake Victous or product-related identities. Avoid using Victous trademarks or trade names in your page names.
- Do not use Victous logos, product images, photographs, brand names, or copyrighted text—such as literature or BSMs—without prior written permission.
- Do not make false, misleading, or unverified claims about Victous products.
- Do not upload unauthorized photos, videos, or content related to Victous products, business, or events.
- Do not share BSMs (Business Support Materials) of other Affiliates or your own BSMs that are not approved by Victous.
Note: Affiliate conduct on social media is governed by the Victous Code of Ethics and Rules of Business. These are subject to change at any time. Violation of this policy or the Code of Ethics may result in action against the Affiliate’s business. Please follow all guidelines related to social media, digital content, and creatives available on the Victous website under the Code of Ethics section.
11. Correction of Name
11.1 Spelling Corrections
Only spelling corrections will be allowed for the applicant and/or co-applicant’s name. If the error occurred due to the Affiliate during form submission, a correction request must be submitted along with a copy of valid KYC documents (e.g., Passport, PAN Card, Driving License) that includes the applicant’s signature or signature attested by the bank.
11.2 Addition of Co-Applicant
If no co-applicant was registered at the time of enrollment, the applicant may request to add one by submitting a formal application and a "No Objection" letter from the individual being added.
11.3 Interchange of Names
Interchange of names between applicant and co-applicant may be allowed upon request, along with a “No Objection” letter from the co-applicant. This is permitted only if both are spouses or blood relatives. Proof of relationship and valid KYC documents of both parties must be submitted.
11.4 Change of Address and Phone Number
Address changes will be accepted only upon a written request from the Affiliate, accompanied by valid address proof (e.g., utility bill, bank statement, passport, voter ID, Aadhaar card) bearing the same address in the name of the main applicant.
Phone number changes require a written application and a copy of the telephone bill as proof.
12. Adherence to Law
Affiliates must strictly follow all Central, State, and local laws and must not engage in unlawful trade practices. If Victous determines that an Affiliate is involved in illegal activity and fails to terminate that activity upon notification, Victous may terminate the business relationship. In such cases, the Affiliate will lose all rights and privileges associated with being a Victous Affiliate.
13. Enforcement of Victous Rules of Conduct
13.1 Disciplinary Action for Violations
Violating the Affiliate Contract is unacceptable under any circumstances. Victous reserves the right to take disciplinary actions—including suspension or termination—at its sole discretion. Victous's decision is final and binding.
If any violation is observed, it should be reported as follows:
- Provide all facts, documentary evidence, and supporting materials.
- Victous may request additional information from any involved party.
- Upon receiving a complaint, Victous will issue a show-cause notice via registered mail to the last known mailing address of the concerned Affiliate, stating the rules violated.
- Victous may initiate action even without a formal complaint.
13.2 Dual Joining
If an Affiliate is found to hold two or more registrations (as Applicant or Co-applicant), Victous may take the following actions:
- Issue a show-cause notice seeking an explanation.
- Conduct an investigation and terminate the second registration immediately without paying any compensation under the Victous Compensation Plan for that ID.
If the duplicate registration is reported voluntarily by the Affiliate within 180 days of the second registration:
- The full network enrolled under the second ID will be transferred to the first/original registration.
If reported after 180 days:
- The second registration will be terminated.
- The network enrolled under that ID will remain in its existing Line of Sponsorship (LOS) and be passed up to the next upline in that LOS.
13.3 Suspension of Victous Business
Victous may implement disciplinary actions to ensure compliance with its business rules. These may include:
- Blocking access to Business Status reports
- Holding payment of commissions, award money, or any other benefits
- Restricting attendance at Victous-sponsored seminars, meetings, events, and training sessions
- Preventing participation in Victous-sponsored trips
- Restricting the ability to place orders or share business opportunities
13.4 Consequences of Termination
Upon termination of their authorization as a Victous Affiliate, the individual must immediately:
- Cease identifying themselves as a Victous Affiliate
- Cease using all trademarks, trade names, insignias, and other intellectual property associated with Victous
- Relinquish all rights to any income generated after the date of termination
13.5 No Claims Post-Termination
If Victous terminates an Affiliate’s business due to a violation of the Affiliate Contract, the Affiliate shall have no legal claim against Victous. In serious cases, Victous reserves the right to terminate the Affiliate without offering a chance for corrective action.
13.6 Interim Managers
If Victous determines that a business within a Line of Sponsorship is being negatively affected by an Affiliate’s inability or unwillingness to fulfill their obligations, Victous may appoint an Interim Manager. This decision will be made in writing and is at Victous’s sole discretion, lasting until the issue is resolved.
14. Zero Tolerance Policy
Victous has a strict zero-tolerance policy toward any violation of the Affiliate Contract. No leniency will be shown to Affiliates found to be engaging in misconduct or adverse behavior. Victous reserves the right to hold the Affiliate financially responsible for any damages or losses caused to Victous or other Affiliates due to their actions, especially if they harm Victous’s reputation or that of its products or services.
15. Modification of the Affiliate Contract
Victous reserves the absolute right to amend, modify, or update:
- Rules of Conduct and Code of Ethics
- Terms and conditions of the Victous Compensation Plan
- Any documents that form part of the Affiliate Contract
Such changes will be communicated through official channels, including:
- Victous website
- Victous app (iOS & Android)
- Victous magazine
- Posters displayed at Victous Success Centres
- Other official publications
If the Affiliate does not accept the amended terms, they may terminate the contract by sending written communication to Victous. However, if the Affiliate continues their business after the amendments are communicated, it will be presumed that they have accepted and agreed to the changes.
16. Retailing
16.1 Restrictions on Retail Sales
Victous does not permit Affiliates to display or sell its products or literature through retail stores. The following rules apply:
- Affiliates may not permit Victous products or services to be sold or displayed in retail stores, schools, fairs, ships, or military stores—even if the products are not for sale.
- No Victous point-of-sale materials or literature shall be displayed in retail establishments.
- Affiliates working in or owning retail establishments must conduct Victous business entirely separately. Customers must be acquired and served in the same manner as Affiliates not associated with retail stores.
- Non-store retail environments such as barber shops and beauty salons may also not be used for displaying Victous products or literature.
- Mass communication methods like TV shopping channels, computer networks, or large-scale advertisements are not permitted for acquiring customers.
Exception for Certain Health and Beauty Establishments
Affiliates operating in beauty salons, health clubs, clinics, or similar establishments may display and sell health, beauty, and sport nutrition products under these conditions:
- The primary business must be service-oriented, and product sales must be incidental to the service offered.
- Only Victous products directly related to the service may be displayed and sold. For example:
- A beauty salon may offer personal care products.
- A health clinic may offer wellness products.
17. Prohibition from Spamming
17.1 Unsolicited Email Messages
Affiliates must not send unsolicited emails to individuals with whom they do not have a pre-existing personal or business relationship. This includes sending messages through:
- Newsgroups
- Purchased mailing lists
- "Safe lists"
- Other lists or entities without relationship
17.2 Employment Postings
If an Affiliate responds to an employment-related inquiry, they must clearly state in the first paragraph that it is a business opportunity. Any material shared must be approved by Victous in accordance with the Affiliate Contract.
18. De-sponsorship
De-sponsorship means the removal of an Affiliate from their position as a Sponsor in the Line of Sponsorship. This may also include the permanent removal of their right to sponsor in their current or any other Line of Sponsorship. This action is initiated by written notice from Victous and takes effect either on the breach date or the date stated in the notice.
18.1 Grounds for Termination or De-sponsorship
Victous may terminate or de-sponsor an Affiliate with or without prior written notice for reasons including (but not limited to):
- Submission of false information in the Affiliate Application
- Misrepresentation of Victous or its business
- Material breach of Affiliate Contract not remedied within the specified time
- Repeated breaches of the Affiliate Contract
- Conviction of any criminal offense
- Suspension or disbarment from a professional body
- Bankruptcy or winding-up proceedings
- Death of the Affiliate without an executor or heir assuming the business
- Incapacity due to unsoundness of mind
- Breach of value-added service terms or non-payment
- Involvement with a competing business
- Defamation of Victous or its Affiliates
- Misuse of copyrighted materials, or confidential downline data
- Running separate organizations to promote Victous business under different banners
18.2 Finality of Victous’s Decision
Victous’s decision on termination or de-sponsorship is final and binding.
18.3 Consequences of Termination
Termination of an Affiliate includes:
- Loss of all rights and privileges associated with being a Victous Affiliate
- Loss of income and benefits under the Sales and Marketing Plan from the date of termination onward
18.4 Process of Termination or De-sponsorship
If Victous decides to terminate or de-sponsor an Affiliate, the following procedures apply:
- The Affiliate will be notified in writing through Registered Mail and digital modes such as email or WhatsApp.
- Notices will be sent to the last mailing address on record, and delivery will be considered valid regardless of the Affiliate’s availability at the address.
- The notice will specify the rule(s) violated (if applicable).
- The notice will mention the effective date of the action.
- If applicable, the Affiliate will be informed of their right to appeal Victous’s decision.
18.5 No Claim Post-Termination or De-sponsorship
Affiliates whose businesses are terminated or de-sponsored under these rules shall have no claim against Victous in respect of the action taken.
19. Termination, De-sponsorship, or Suspension Without Formal Complaint
19.1 Action Without Complaint
Victous may take disciplinary action—including termination, de-sponsorship, or suspension—without a formal complaint being filed. However, the Affiliate will be given a chance to explain or justify their conduct before any action is taken.
19.2 Immediate Termination in Severe Cases
If the violation is serious enough to undermine the Affiliate’s right to continue operating, Victous may proceed with termination without offering an opportunity to correct the behavior.
20. Review and Disposition of Business – Placeholder Policy
20.1 Right to Dispose Affiliate Position
Victous reserves the right to dispose of an Affiliate’s position in the Line of Sponsorship if it becomes vacant or abandoned due to:
- Termination
- De-sponsorship
- Resignation
- Death
- Any other reason
Victous may assume the business as a placeholder and determine the future disposition at its discretion.
20.2 Process
In cases of termination, resignation, or death without a successor, Victous may choose to:
20.2.1 Sale/Assignment of Business
- Victous may offer the business for sale or assignment to another eligible Victous Affiliate.
- The sale must comply with the Foreign Exchange Management Act and other relevant laws.
- The terms will be documented in a written contract.
- The business will retain its current position in the Line of Sponsorship and become the purchaser's second business (No.2).
20.2.2 Dissolution of Business
If Victous so chooses, the business may be merged with the first qualified upline sponsor’s business in the Line of Sponsorship.
20.3 No Limitation on Victous
Victous is not limited to the above methods and retains full discretion over how and when to dispose of the business.
21. Review by Victous
21.1 Suspension of Authorization Until Decision is Made
If an Affiliate appeals a decision to the Review Panel, Victous may suspend the Affiliate’s authorization pending the final decision. During the suspension period:
- The Affiliate may not engage in any Victous-related activities.
- The Affiliate may not represent themselves as a Victous Affiliate.
- Payments such as commissions and discounts will be computed but held in escrow.
- Whether Business Volume (BV) counts toward bonuses or rewards will be determined based on the Review Panel's recommendation.
- The Affiliate will not be allowed to attend events, seminars, or trips, regardless of prior qualification.
- All media references to the Affiliate will be removed during the review period.
- If the Review Panel rules in the Affiliate's favor:
- Victous will restore all rights and privileges.
- Escrowed funds will be released (less administrative costs, if any).
- If the decision is not in the Affiliate’s favor, Victous will determine the disposition of escrowed funds.
22. Rules Regarding Death
A. Death
22.1 No Nominee Appointed
If an Affiliate passes away without a nominated successor:
- The business shall transfer to the Executor of the estate.
- The Executor will manage the business and receive commissions earned during the management period.
- If no Executor is appointed within 60 days, Victous may dispose of the business per Rule 20 (Placeholder Policy).
- If the Executor is already an Affiliate, they may retain both businesses but cannot run them separately.
22.2 Deceased Partner in Dual Ownership
If the deceased was a main applicant and the business was jointly held with another unmarried person:
- The legal heir may apply to replace the deceased’s name within 60 days of death with valid documentation.
- If no application is received within the stipulated time, Victous may dispose of the business as per Rule 20.
- The surviving co-applicant may acquire the deceased's interest through will or purchase.
23. Procedure for Filing and Appeal for Review
The appeal must be made in writing and may include supporting documents. It must be submitted within the time specified in the decision letter to:

If submitted after the deadline, the request will be denied, and the Affiliate will be notified of the dismissal.
24. Membership of Panel
The Review Panel will consist of corporate personnel from Victous Lifesciences Pvt. Ltd., as designated by the company.
25. Review Panel Members Are Not Arbitrators
The Review Panel is an internal review mechanism for termination, de-sponsorship, or suspension decisions. Members do not serve as legal arbitrators. If the Affiliate initiates legal proceedings before the review, the review process will be canceled, and the Affiliate forfeits the right to internal appeal.
26. Procedures for Review by Panel
26.1 Evidence Submission
Both parties may submit evidence independently or at the panel’s request. The Panel determines the relevancy and materiality of the evidence. Legal standards of evidence are not required.
26.2 Final Determination by the Review Panel
26.2.1 Communication of Determination
The final decision of the Review Panel will be communicated to all involved parties.
26.2.2 Scope of Decision
The Review Panel may affirm, reverse, or modify Victous’s original decision.
26.2.3 Termination Confirmation
If the Review Panel upholds or recommends termination of an Affiliate, Victous Limited will confirm the termination by notifying the Affiliate that:
- 26.2.3.1: The termination has been confirmed as effective from the original termination date already notified; or
- The business has been terminated by virtue of the Review Panel’s decision, and the notification of this decision serves as the termination notice.
26.2.4 Corrective Action (Non-Termination)
If the Review Panel recommends corrective action instead of termination:
- 26.2.4.1: Victous Limited will notify the Affiliate of the corrective action via Registered Mail or digital modes such as email or WhatsApp. The notice will include the deadline for the Affiliate to complete any required actions or specify dates on which Victous will take the corrective steps.
26.2.5 Implementation of Review Panel’s Decision
Victous will take all necessary steps to implement the Review Panel’s final decision.
26.2.6 No Liability
The Review Panel’s decision does not create any liability for Victous Limited, including but not limited to loss of profit or goodwill.
28. Dispute Resolution
Any dispute, differences or claim arising out of or in connection with the Affiliate Contract shall be submitted to binding arbitration and shall be referred to the sole Arbitrator appointed in accordance with the Arbitration and Conciliation Act 1996 of India, as amended from time to time. The venue of such arbitration shall be at Vijayawada, Andhra Pradesh and the award of the Arbitrator shall be final and binding on all parties. Subject to the above, courts at Vijayawada shall alone have jurisdiction in relation to the Affiliate Agreement and matters connected thereto. These guidelines are subject to change from time to time. Failure to comply with the rules of conduct and these guidelines may result in action against your independent Victous business.
THESE GUIDELINES ARE SUBJECT TO CHANGE FROM TIME TO TIME. FAILURE TO COMPLY WITH THE RULES OF CONDUCT AND THESE GUIDELINES MAY RESULT IN ACTION AGAINST YOUR INDEPENDENT VICTOUS BUSINESS.
